Terms of Use

These Terms of Use (“Terms”) govern your access to and use of DrawerPilot’s websites (collectively, the “Website”), and our home organization web application and related features, functionality, content, and services (collectively, the “App”). The Website and App are collectively referred to as the “Services.”

Please read these Terms carefully. By accessing or using the Services, creating an account, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

PLEASE NOTE THAT THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER, WHICH REQUIRE DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT OR IN A CLASS ACTION. PLEASE REVIEW THE “ARBITRATION AND CLASS ACTION WAIVER” SECTION BELOW CAREFULLY.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the App. By using the App, you represent and warrant that you satisfy these requirements.

2. The App

The App is a home organization tool designed to help users document, organize, and locate items stored in their homes or other locations. Among other functionality, the App may allow you to identify or create storage locations, scan or photograph items, associate items with particular locations, and later retrieve information regarding where those items were stored.

Certain App functionality uses artificial intelligence, machine learning, computer vision, or similar automated technologies (“AI Features”) to analyze information you provide and generate results, including identifying or categorizing items and suggesting or identifying their recorded storage locations.

The features and functionality of the App may change from time to time. We may add, modify, suspend, or discontinue features or functionality as permitted by applicable law.

3. Accounts

Certain features of the App may require you to create an account. You agree to provide accurate and complete information and to keep your account information current.

You are responsible for maintaining the confidentiality and security of your login credentials and for activity occurring through your account. You may not permit another person to access your account except as expressly permitted through functionality we make available.

You agree to promptly notify us at support@drawerpilot.com if you believe your account or login credentials have been accessed or used without authorization.

4. Your Content

The Services may allow you to submit, upload, scan, photograph, record, store, or otherwise provide information or materials, including photographs and images of items, descriptions of items, storage locations, labels, notes, and other information (“User Content”).

As between you and DrawerPilot, you retain any ownership rights you have in your User Content.

You grant DrawerPilot a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, modify, display, transmit, and otherwise use your User Content as reasonably necessary to provide, maintain, secure, support, and improve the Services and as otherwise described in our Privacy Policy.

You represent and warrant that you have all rights and permissions necessary to provide User Content to us and to authorize its use as described in these Terms.

5. Images and Information About Your Home

The App allows you to submit photographs, video, scans, and other information to identify and organize items and their storage locations. DrawerPilot processes this content to provide the App's functionality, including through the use of artificial intelligence and similar technologies.

The App is not designed or intended to collect sensitive personal information through photographs, video, or scans. You should avoid including sensitive or confidential information that is not necessary to use the App, such as financial account information, passwords or access codes, identification documents, medical information, or other confidential information.

You are responsible for the content you submit through the App and for ensuring that you have the right to provide that content. You should avoid capturing other individuals in photographs or video unless necessary and appropriate.

Additional information about how DrawerPilot collects, uses, and retains information submitted through the App is provided in our Privacy Policy.

6. Artificial Intelligence Features

The App uses AI Features to provide certain functionality. AI-generated or AI-assisted results are based on automated analysis and may be inaccurate, incomplete, outdated, or otherwise incorrect.

For example, the App may incorrectly identify an item, classify an item, associate an item with a location, or report where an item is stored. You should not rely on the App as the sole means of locating, identifying, tracking, securing, or maintaining any item where an incorrect result could cause injury, property damage, financial loss, or other material harm.

You are responsible for reviewing information provided by the App and determining whether it is appropriate for your purposes.

The App is intended as a convenience and organizational tool. It is not a security, inventory-control, asset-tracking, emergency-response, or safety system.

7. Important Items and Safety-Critical Uses

You should not rely on the Services to identify or locate items in an emergency or other time-sensitive situation.

Without limiting the foregoing, the Services should not be relied upon as the exclusive means of tracking or locating medications, medical equipment, emergency supplies, keys, identification documents, financial instruments, firearms or other weapons, hazardous materials, or other items whose loss, misidentification, or delayed retrieval could result in injury, property damage, financial loss, or other significant consequences.

You remain responsible for safely storing and securing items in your home and for maintaining any records or backup information that you consider necessary.

8. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • (a) use the Services in violation of any applicable law or regulation;
  • (b) submit User Content that you do not have the right to submit or that infringes or violates the rights of another person;
  • (c) use the Services to surveil, harass, stalk, exploit, or otherwise harm another person;
  • (d) attempt to gain unauthorized access to the Services, another user's account, or any systems or networks associated with the Services;
  • (e) introduce viruses, malware, malicious code, or other harmful technology;
  • (f) interfere with or disrupt the operation, security, or integrity of the Services;
  • (g) scrape, crawl, harvest, or use automated means to access or extract data from the Services except as expressly authorized by us;
  • (h) reverse engineer, decompile, disassemble, or attempt to derive source code, models, algorithms, or other underlying components of the Services, except to the extent such restriction is prohibited by applicable law;
  • (i) use the Services or their outputs to develop, train, test, improve, or benchmark a competing artificial intelligence, machine-learning, computer-vision, or similar system, except with our prior written permission; or
  • (j) circumvent or attempt to circumvent any technical restrictions or usage limitations associated with the Services.

9. License to Use the App

Subject to your compliance with these Terms, DrawerPilot grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the App for your personal, non-commercial use.

Except for User Content, the Services and all software, technology, designs, interfaces, text, graphics, trademarks, logos, models, algorithms, and other materials made available through the Services are owned by or licensed to DrawerPilot and are protected by intellectual property and other laws.

No rights are granted to you except as expressly stated in these Terms.

10. Third-Party Services

The Services may incorporate, interact with, or rely upon third-party products, platforms, artificial intelligence technologies, hosting providers, or other services. We are not responsible for third-party products or services that are outside our control.

Where your use of a third-party service is subject to separate terms or policies provided by that third party, your use of that service is governed by those terms and policies.

11. Feedback

If you provide suggestions, ideas, comments, or other feedback concerning the Services (“Feedback”), you grant DrawerPilot a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that Feedback for any lawful purpose without restriction or compensation to you.

12. Privacy

Our Privacy Policy, available at drawerpilot.com/privacy, describes how we collect, use, disclose, and otherwise process personal information in connection with the Services.

By using the Services, you acknowledge that you have reviewed our Privacy Policy.

13. Fees and Paid Features

Certain features of the Services may require payment. Any applicable prices, subscription terms, renewal terms, and other material purchase terms will be disclosed to you before you complete a purchase.

If you purchase a subscription that automatically renews, the applicable purchase interface will disclose the renewal terms and provide information regarding how to cancel, as required by applicable law.

14. Beta and Experimental Features

We may make beta, preview, experimental, or similar features available from time to time. Such features may be incomplete, contain errors, change materially, or be discontinued without notice.

You acknowledge that you use beta or experimental features at your own discretion and should not rely on them for critical purposes.

15. Suspension and Termination

You may stop using the Services at any time and may close your account through your account settings page.

We may suspend or terminate your access to some or all of the Services if we reasonably determine that you have violated these Terms, your use creates a security or legal risk, or suspension or termination is otherwise permitted by applicable law.

Upon termination or closure of your account, your right to use the Services will cease. The treatment of personal information associated with your account following account closure is described in our Privacy Policy.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and other accrued rights and obligations.

16. Availability and Changes to the Services

We do not guarantee that the Services, or any particular feature, will always be available, uninterrupted, secure, or error-free.

The Services may occasionally be unavailable due to maintenance, technical issues, changes to third-party services, or circumstances outside our reasonable control.

You are responsible for maintaining appropriate copies or backups of information that you do not want to lose.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

DRAWERPILOT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, DRAWERPILOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE; THAT ITEMS WILL BE CORRECTLY IDENTIFIED, CLASSIFIED, RECORDED, OR LOCATED; THAT USER CONTENT WILL NEVER BE LOST OR CORRUPTED; OR THAT AI-GENERATED OR AI-ASSISTED RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRAWERPILOT AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, DRAWERPILOT WILL NOT BE LIABLE FOR LOSS OR DAMAGE ARISING FROM YOUR RELIANCE ON AN INCORRECT IDENTIFICATION, CLASSIFICATION, STORAGE LOCATION, RECOMMENDATION, OR OTHER OUTPUT PROVIDED THROUGH THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DRAWERPILOT ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DRAWERPILOT FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT PERMIT CERTAIN LIMITATIONS OF LIABILITY, IN WHICH CASE THOSE LIMITATIONS WILL APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless DrawerPilot and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable costs and expenses arising from (a) User Content you submit through the Services; (b) your unlawful or unauthorized use of the Services; or (c) your material violation of these Terms.

This Section does not require you to indemnify any person for that person's own unlawful conduct, negligence, or other conduct for which indemnification may not lawfully be required.

20. Copyright and Intellectual Property Complaints

If you believe content available through the Services infringes your copyright or other intellectual property rights, please contact us at support@drawerpilot.com.

21. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice as required by applicable law.

The “Last Updated” date above indicates when these Terms were most recently revised. Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms to the extent permitted by applicable law.

If applicable law requires affirmative consent to a change, we will obtain that consent before the change applies to you.

22. Electronic Communications

You consent to receive electronically agreements, notices, disclosures, and other communications relating to your use of the Services. You agree that electronic communications satisfy any legal requirement that such communications be in writing, subject to applicable law.

This consent does not constitute consent to receive marketing calls or text messages.

23. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.

24. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE A DISPUTE HEARD IN COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

24.1 Informal Dispute Resolution

Before initiating arbitration, you and DrawerPilot agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to the Services, these Terms, or the relationship between you and DrawerPilot (a “Dispute”) informally.

The party seeking to initiate a Dispute must provide the other party with written notice describing the nature and basis of the Dispute and the relief sought. Notices to DrawerPilot must be sent to support@drawerpilot.com. DrawerPilot will send any notice to you using the contact information associated with your account.

The parties will attempt in good faith to resolve the Dispute for at least 30 days after receipt of the notice before commencing arbitration.

24.2 Agreement to Arbitrate

Except for disputes that qualify for small claims court and requests for injunctive or other equitable relief relating to the infringement or misuse of intellectual property rights, you and DrawerPilot agree that any Dispute that cannot be resolved through the informal process described above will be resolved by binding individual arbitration rather than in court.

The Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of this agreement to arbitrate.

Arbitration uses a neutral arbitrator instead of a judge or jury. Arbitration procedures may be more limited than court procedures, and an arbitrator's decision is subject to limited judicial review.

24.3 Arbitration Procedures

The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, as modified by these Terms.

The arbitrator will have authority to award any remedy that would otherwise be available to you individually under applicable law.

The arbitration may be conducted by telephone, videoconference, based on written submissions, or in person, as permitted by the applicable arbitration rules and law. Any in-person arbitration will take place in a location reasonably convenient to you unless the parties agree otherwise.

24.4 Arbitration Fees

Payment of filing, administration, and arbitrator fees will be governed by the AAA Consumer Arbitration Rules and applicable law. DrawerPilot will pay any arbitration fees that it is required to pay under those rules or applicable law.

Nothing in these Terms requires you to pay fees or costs that you would not lawfully be required to pay for this arbitration agreement to be enforceable.

24.5 CLASS ACTION AND JURY TRIAL WAIVER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DRAWERPILOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE PROCEEDING.

YOU AND DRAWERPILOT ALSO WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE THAT IS NOT SUBJECT TO ARBITRATION TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Unless you and DrawerPilot agree otherwise, the arbitrator may not consolidate the claims of more than one person and may not preside over any form of class, collective, consolidated, coordinated, or representative proceeding.

24.6 Small Claims Court

Notwithstanding the agreement to arbitrate, either party may bring an individual action in a small claims court of competent jurisdiction if the action qualifies to be heard in that court and remains solely on an individual basis.

24.7 Opt-Out Right

You may opt out of this agreement to arbitrate by providing written notice to support@drawerpilot.com within 30 days after you first accept these Terms.

Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement contained in these Terms.

If you timely opt out, the arbitration provisions of this Section will not apply to you, but the remaining provisions of these Terms, including the jury trial and class action waivers to the extent independently enforceable, will continue to apply.

24.8 Severability

Except as provided below, if any portion of this Section is found unenforceable, that portion will be severed and the remainder of this Section will remain in effect to the fullest extent permitted by law.

If the prohibition against class or representative arbitration in Section 24.5 is determined to be unenforceable with respect to a particular claim or request for relief, that claim or request for relief will proceed in a court of competent jurisdiction and not in arbitration, while any remaining arbitrable claims will be arbitrated on an individual basis.

24.9 Survival

This Section survives termination of these Terms and termination or deletion of your account.

25. Miscellaneous

These Terms, together with any additional terms expressly incorporated into them, constitute the agreement between you and DrawerPilot concerning your use of the Services.

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
